Adelphia Gateway, LLC (“Adelphia”) is conducting a Non-Binding Open Season seeking interest

for Firm Transportation Service (“FTS”) from existing receipt points Zone South as described

further below. Adelphia’s

capitalized terms that are used but not defined herein shall have the meanings ascribed to them in

the Tariff.

Transportation Service Offering

Zone South – Incremental Capacity from Tetco West Rockhill or Adelphia’s Zone South

Transfer Meter

As a result of anticipated pipeline operating conditions for this upcoming winter season only,

Adelphia has determined that it will have incremental capacity available up to 13,500 Dth/d

commencing November 1, 2025 from its existing receipt points in Adelphia’s Zone South at Tetco

West Rockhill or TM-South Transfer to the following existing delivery point(s) in Zone South.

Existing Zone South Delivery Locations:

Transco Ridge; and

Peco-Tilghman.

Any bidder that desires to submit a bid into this Non-Binding Open Season may do so by

completing the attached Non-Binding Open Season Bid Form. The award of any capacity will be

subject to the Contracting for Service and Capacity Award processes described below.

The Non-Binding Open Season will commence at 9:00 a.m. Central Prevailing Time (“CPT”) on

October 6, 2025, and close at 2:00 p.m. CPT on October 14, 2025.

Rates

The FTS offerings will be performed under Adelphia’s Rate Schedule FTS and Part 284(G) of the

Federal Energy Regulatory Commission’s (“FERC”) regulations. To effectuate deliveries to

existing delivery point(s) in Zone South, Adelphia is seeking the maximum Rate Schedule FTS

reservation rates for each applicable zone.

In addition to the FTS reservation rate, shippers will be responsible for Transporter’s Use (%), as

defined in Adelphia’s FERC Gas Tariff (“Tariff”), commodity charges, ACA and all other

applicable surcharges as approved by FERC for FTS under the Tariff.

Term

Zone South

Adelphia is seeking bids for the five (5) month 2025-2026 winter season commencing

November 1, 2025 and ending March 31, 2026; however, Adelphia reserves the right to

consider bids for a shorter term.1

Creditworthiness

The terms and conditions governing Adelphia’s creditworthiness requirements are set forth in

Adelphia’s Tariff. Any bidder desiring to request FTS under this Non-Binding Open Season must

provide Adelphia with a completed credit application form contemporaneous with its bid. Adelphia

reserves the right to reject bids in the event requesting bidders are unable to meet applicable

creditworthiness requirements, which must be in place prior the commencement of any associated

contract.

Non-Binding Open Season Procedure

As indicated above, this Non-Binding Open Season will end at 2:00 p.m. CPT on October 14, 2025

(“Deadline”).

Accordingly, any bidder desiring FTS offered in this Non-Binding Open Season must complete

and submit to Adelphia the attached Bid Form and the credit application referenced above by the

Deadline. Bidders submitting a Bid Form will be expressing a non-binding commitment to

contract for FTS on Adelphia, subject to negotiation and execution of an FTS agreement with

Adelphia. All Bid Forms received will be treated as confidential.

Upon close of the Non-Binding Open Season, Adelphia will evaluate all bids received by the

Deadline.

Capacity Award Process

Firm capacity will be awarded to the bid(s) generating the highest aggregate net present value

(“NPV”) to Adelphia. In the event valid bidder requests exceed the capacity that Adelphia can

make available, Adelphia will award such capacity among bidders willing to execute binding FTS

agreements on a not unduly discriminatory basis.

To the extent capacity remains available following completion of negotiations with all qualifying

bidders in this Non-Binding Open Season, Adelphia reserves the right to negotiate mutually

acceptable FTS agreements with any potential shipper on a first-come, first-served basis for the

remaining unsubscribed capacity upon request irrespective of the deadlines herein for execution

of binding FTS agreements.

Per Adelphia’s FERC Gas Tariff, bids received with a term for less than 12 consecutive months in length do not

receive a Right of First Refusal (“ROFR”).

Contracting for Service

Upon the close of the Non-Binding Open Season bidding period, Adelphia will evaluate all valid

bids as set forth in the associated Bid Forms. Adelphia representatives will contact the winning

bidder(s) in order to finalize the terms on which service will be provided to complete the Non-

Binding Open Season process. Adelphia reserves the right to reject any bidder’s valid bid in the

event a duly authorized representative of such bidder has not executed a binding FTS agreement

within 14 days following the end of the Non-Binding Open Season bidding period, or such later

date as deemed acceptable by Adelphia provided that such agreement(s) executed more than 14

days after the end of the Non-Binding Open Season bidding period will not subject any bidder

with a timely executed agreement to any further pro-rationing of capacity as a result of later-

executed agreements.

Limitations and Reservations

Adelphia reserves the right to reject any and all bids that do not satisfy the requirements set forth

in this Non-Binding Open Season Notice. Without limiting the foregoing, Adelphia may, reject

any bids in which the Non-Binding Open Season Bid Form is incomplete, is inconsistent with the

terms and conditions outlined in this Non-Binding Open Season Notice, contains conditions,

additional or modified terms, or is otherwise deficient in any respect.

Adelphia reserves the right to reject bids in the event requesting bidders are unable to meet

applicable creditworthiness requirements. No bids shall be binding on Adelphia unless and until

duly authorized representatives of both a requesting bidder and Adelphia have executed a binding

FTS agreement.

Adelphia reserves the right, at any time during this Non-Binding Open Season, upon notice and in

its sole discretion, to terminate this Non-Binding Open Season, to extend the Non-Binding Open

Season, or to modify this Non-Binding Open Season.
