Adelphia Gateway – Prearranged Open Season for
Incremental Capacity in Zone North A

Adelphia Gateway, LLC (“Adelphia”) is conducting a Prearranged Open Season in accordance
with Section 26.6(f) of the General Terms and Conditions of its FERC Gas Tariff (as it may be in
effect from time to time, the "Tariff") seeking binding bids for up to 22,500 Dth/d of Firm
Transportation Service (“FTS”) from existing receipt points in Zone North A as described further
below. Adelphia’s System Map is available at https://www.adelphiagateway.com/about/systems-
map.aspx. Unless otherwise indicated, capitalized terms that are used but not defined herein shall
have the meanings ascribed to them in the Tariff.
Transportation Service Offering
Zone North A – Incremental Capacity from Transco Lower Mud Run North A or Columbia-
Gilbert
Adelphia has incremental capacity available up to approximately 22,500 Dth/d from its existing
receipt points in Zone North A with Transcontinental Gas Pipe Line Company, LLC (“Transco”)
at Lower Mud Run North A (“LMRR-A”) or with Columbia Gas Transmission, LLC (“Columbia”
or “Col”) at Gilbert (“Col-Gilbert”) to existing or new delivery point(s) south of the LMRR-A/
Col-Gilbert receipt points in Zone North A. The quantity of available capacity is dependent on
the primary receipt and delivery points elected and the operational capability of Adelphia to
accommodate those points.
Any bidder that desires to submit a binding bid into this Prearranged Open Season may do so by
completing the attached Prearranged Open Season Bid Form. The award of any capacity will be
subject to the Contracting for Service and Capacity Award processes described below.
The Prearranged Open Season will commence at 9:00 a.m. Central Prevailing Time (“CPT”) on
October 2, 2025 and close at 2:00 p.m. CPT on October 8, 2025.
Rates
The FTS offerings will be performed under Adelphia’s Rate Schedule FTS and Part 284(G) of the
Federal Energy Regulatory Commission’s (“FERC”) regulations. To effectuate deliveries to
existing delivery point(s) in Zone North A, Adelphia is seeking the maximum Rate Schedule FTS
reservation rates. For deliveries contemplated to any new delivery point(s) in Zone North A,
incremental charges may apply to recover the cost to install any new facilities.
In addition to the FTS reservation rate, shippers will be responsible for Transporter’s Use (%), as
defined in the Tariff, commodity charges, ACA and all other applicable surcharges as approved
by FERC for FTS under the Tariff.
Term
Adelphia is seeking bids with a minimum term of 10 years.
Creditworthiness
The terms and conditions governing Adelphia’s creditworthiness requirements are set forth in
Adelphia’s Tariff. Any bidder desiring to request FTS under this Prearranged Open Season must
provide Adelphia with a completed credit application form or otherwise have sufficient credit
established to support a new contract. Adelphia reserves the right to reject bids in the event
requesting bidders are unable to meet applicable creditworthiness requirements.
Prearranged Open Season Procedure
As indicated above, this Prearranged Open Season will end at 2:00 p.m. CPT on October 8, 2025
(“Deadline”).
Accordingly, any bidder desiring FTS offered in this Prearranged Open Season must complete and
submit to Adelphia the attached Bid Form and the credit application referenced above, if necessary,
by the Deadline. Bidders submitting a Bid Form will be expressing a binding commitment to
contract for FTS on Adelphia, subject to execution of an FTS agreement with Adelphia (and a
precedent agreement, if new facilities are required). All Bid Forms received will be treated as
confidential.
Upon close of the Prearranged Open Season, Adelphia will evaluate all bids received by the
Deadline.
A Prearranged Shipper has executed a binding Prearranged Agreement for all the available
capacity, at Adelphia’s Maximum Recourse Rate and for a term of 10 years beginning on
November 1, 2025.
Capacity Award Process
In accordance with Section 26.6(f) of the Tariff, the net present value of any bids received in this
Prearranged Open Season will be determined in accordance with Section 26.6(a) of the Tariff. The
Prearranged Agreement will be deemed the binding bid of the Prearranged Shipper. If Adelphia
receives a bid(s) that exceeds the net present value of the Prearranged Agreement, Adelphia will
notify the Prearranged Shipper within one (1) Business Day after the close of this Prearranged
Open Season. The Prearranged Shipper must notify Adelphia within one (1) Business Day of its
election to either match the bid(s) with the highest net present value or terminate the Prearranged
Agreement. The highest rate that the Prearranged Shipper must match to receive service under the
Prearranged Agreement is the Maximum Recourse Rate. If the Prearranged Shipper elects to
match the bid(s), all the capacity will be awarded to the Prearranged Shipper. If the Prearranged
Shipper elects not to match a higher competing bid(s), the capacity will be awarded to the
Shipper(s) with the highest bid in this Prearranged Open Season. All bids in this Prearranged Open
Season are binding and a Shipper with an unmatched higher bid must execute a Service Agreement
consistent with the terms of its bid within three (3) Business Days of receiving notice of its award
of capacity (and a precedent agreement, if new facilities are required). In the event valid winning
unmatched bidder requests exceed the capacity that Adelphia can make available, Adelphia will
award such capacity among bidders willing to execute binding Service Agreements on a not unduly
discriminatory basis.
Contracting for Service
Upon the close of the Prearranged Open Season bidding period, Adelphia will evaluate all valid
bids as set forth in the associated Bid Forms. Adelphia representatives will contact the winning
bidder(s) in order to finalize the terms on which service will be provided to complete the
Prearranged Open Season process. Adelphia reserves the right to reject any bidder’s valid bid in
the event a duly authorized representative of such bidder has not executed a binding FTS
agreement (and a precedent agreement, if new facilities are required) for such service, within
three (3) Business Days of winning bidder being notified of award.
Limitations and Reservations
Adelphia reserves the right to reject any and all bids that do not satisfy the requirements set forth
in this Prearranged Open Season Notice. Without limiting the foregoing, Adelphia may reject any
bids in which the Prearranged Open Season Bid Form is incomplete, is inconsistent with the terms
and conditions outlined in this Prearranged Open Season Notice, contains conditions, additional
or modified terms, or is otherwise deficient in any respect.
Adelphia also reserves the right to reject bids in the event requesting bidders are unable to meet
applicable creditworthiness requirements. No bids shall be binding on Adelphia unless and until
duly authorized representatives of both a requesting bidder and Adelphia have executed a FTS
agreement.
Adelphia reserves the right, at any time during this Prearranged Open Season, upon notice and in
its sole discretion, to terminate this Prearranged Open Season, to extend the Prearranged Open
Season, or to modify this Prearranged Open Season.
